1. Strategic Profit Line Trading, LLC (“SPL” and “SPL Trading” and “SPL Trading, LLC”) can not and does not represent that the implementation of strategies and techniques discussed throughout the course will work as purchaser desires, since the effectiveness of strategies and techniques depends, in large part, on its user. SPL Trading, LLC, owner of the Financial Strategies Course, and the Owner of the hosted Website are hereinafter referred to as Company.
2. Participation as a Student of the Financial Strategies Courses, (hereinafter called Educational Courses) is subject to the following additional terms and conditions:
A. The Educational Courses are licensed for your private use ONLY;
B. All rights, title and interest in and to the Courses material, including, without limitation, any copyrights and other intellectual property rights, shall remain with Company;
C. Except as expressly permitted in these Terms or by law you may not copy, modify, sell, distribute, disseminate, transmit, post to social media, translate, reverse engineer, decompile or disassemble the Educational Courses content, or disclose the Educational Courses or any underlying information or technology to any third party;
D. You may not bypass, disable, deactivate or render ineffective any protection or security scheme or program contained in the Educational Courses;
E. You may not remove, erase, modify or tamper with any copyright, trademark or other proprietary rights notice that is printed or stamped on, affixed to, or encoded or recorded in the Educational Courses;
F. You may not download, install, use, export or re-export the Educational Courses or any underlying information or technology;
G. By logging into the Website hosting the Educational Courses, participating in live chats, viewing downloadable content, participating in live Educational Course periods, or otherwise engaging in the receipt or use of Educational Courses’ content, you represent and warrant that you are not located in, under the control of, or a national or resident of any country on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders;

Users shall treat the Educational Courses in the strictest confidence. User agrees that they will not, without the Company’s prior written consent:
a. Disclose any content, technical specifications, documentation, example programs, performance data or other information related to the Educational Courses to any third party without the express permission of the Company;
b. Copy or record any portion of the Educational Courses or documentation.
K. User understands and acknowledges that the Educational Courses are provided for educational and informational purposes only. This Agreement does not constitute a grant or an intention or commitment to grant any right, title or interest in the Educational Courses or the Company’s trade secrets. User may not sell or transfer any portion of the Educational Courses, including but not limited to its components, libraries, reference material, or examples, to any third party or use the Educational Courses in any manner to produce, market or support its own products. User shall clearly identify the Educational Course as the Company’s property.
L. Company reserves the right, in its sole discretion and at any time, to modify or discontinue the Educational Courses, limit, terminate or suspend your use or access to the Educational Courses content, and/or assess charges for the use of the additional offered Educational Courses, or applications in the future.
3. To the fullest extent permitted by law, in no event shall Company or any of its directors, employees or agents have any liability whatsoever to any person for any direct or indirect loss, liability, cost, claim, expense or damage of any kind, whether in contract or in tort, including negligence, or otherwise, arising out of or related to the use by you of all or part of this website or the Educational Courses content.
4. Intellectual Property Rights
Company retains all right, title and interest (including copyrights, trademarks, patents, as well as any other intellectual property or other right) in all information and content (including all text, data, graphics and logos) on the Website and contained within Educational Courses content.

6. Notwithstanding anything herein to the contrary, Student agrees to indemnify, hold harmless, reimburse and defend Company from and against any and all claims, losses, damages, liabilities, obligations and expenses (including, without limitation, settlement costs and any legal, accounting and other expenses for the defense of any action or threatened action) reasonably incurred in connection with the following:
A. The breach of any representation or warranty in this Agreement;
B. Any claim that any of the information provided is not current, complete or accurate;
C. Any actual or alleged infringement of copyrights, patents, service marks or trademarks or the misappropriation of trade secrets, or other proprietary rights, used and displayed in accordance with the provisions of this Agreement.
7. Trademarks
The trademarks, service marks and logos used and displayed on the Site are registered trademarks and service marks of Company. You are not granted, expressly or by implication, estoppels or otherwise, any license or right to use any trademark, service mark or logo used or displayed on the Site, without the express written permission of Company.
8. Disclosure Acknowledgements
The Offered Educational Courses of instruction will begin to inform Users on how to actively trade securities and/or other financial instruments ONLY for USERS own accounts at an appropriate financial firm authorized to execute trades for their customers. Offered Educational Courses do not prepare participants to be Licensed as a Broker in the financial industry, does not prepare participants to become Registered Investment Advisors, does not prepare participants for employment in any role in any industry, and does not provide educational credits, accreditation, or certification. Offered Educational Courses’ period of instruction may refer to trading concepts, strategies, and techniques but none of the educational content is designed to prepare a user to actively invest or trade securities and/or other financial instruments. This includes, but in no way is limited, loss or injury caused in whole or in part by our negligence or by events beyond our control in creating or delivering any of our services.
